In certain cases, the IRS allows companies to submit an offer in compromise while remaining in business. The business must show it cannot pay its liability because of an outlying circumstance, such as the death of a partner or a natural disaster. A temporary slow period does not suffice as a reason to request a compromise.

The IRS and most states may settle tax liabilities under certain circumstances, including doubt as to collectability, doubt as to liability, or effective tax administration.
